JARVIS – End-User License Agreement and Terms of Use

JARVIS – END-USER LICENSE AGREEMENT AND TERMS OF USE

Effective Date: September 9, 2026

These End-User License Agreement and Terms of Use ("Terms") govern the use of JARVIS, an internal artificial intelligence assistant and business automation system operated by Novera Construction inc. ("Novera", "we", "us", or "our").

By accessing or using JARVIS, you agree to these Terms.

1. PURPOSE OF JARVIS

JARVIS is an internal business assistant designed to support authorized business operations, including administrative work, communications, accounting analysis, project coordination, document review, and related operational activities.

JARVIS may interact with third-party business services and software platforms that have been expressly connected and authorized by Novera.

2. AUTHORIZED USERS

JARVIS is intended only for authorized users acting on behalf of Novera Construction inc. or another organization expressly configured and approved within the JARVIS system.

Access to JARVIS does not grant a user any additional rights to third-party accounts, systems, information, or data beyond the permissions already granted to that user or organization.

3. THIRD-PARTY SERVICES

JARVIS may connect to third-party services, including accounting, email, document-management, and other business platforms.

Examples may include QuickBooks Online and Zoho Mail.

Use of those services remains subject to the applicable terms, policies, and permissions of the third-party provider.

JARVIS does not override, bypass, or replace the security controls or authorization requirements of any connected service.

4. QUICKBOOKS ONLINE ACCESS

When connected to QuickBooks Online, JARVIS may access accounting information that the QuickBooks account owner has authorized through Intuit's OAuth authorization process.

The current QuickBooks integration is designed for read-only business analysis.

JARVIS is not currently authorized through this integration to create, modify, delete, or execute accounting transactions.

Any future capability that modifies external financial or accounting data must be separately implemented, authorized, controlled, and approved before use.

5. ARTIFICIAL INTELLIGENCE

JARVIS uses artificial intelligence to interpret requests, analyze information, summarize data, and assist with business decisions.

AI-generated responses may contain errors or incomplete interpretations.

Users remain responsible for reviewing important information before relying on it for accounting, legal, contractual, financial, operational, or other significant business decisions.

6. NO AUTOMATIC AUTHORITY

JARVIS does not independently possess authority to:

- enter into contracts;

- sign agreements;

- authorize payments;

- transfer funds;

- submit legally binding documents;

- modify accounting records;

- commit Novera to a transaction; or

- take other legally binding actions,

unless such capability has been expressly implemented and separately authorized by an authorized representative of Novera.

7. SECURITY AND ACCESS CONTROLS

JARVIS uses internal access controls designed to limit access to authorized companies, agents, connectors, and operations.

Connected services may be enabled or disabled independently.

The presence of a technical capability does not by itself constitute authorization to use that capability.

8. ACCEPTABLE USE

Users must not use JARVIS to:

- access data without authorization;

- circumvent security or access controls;

- obtain credentials or secrets belonging to another user;

- interfere with connected services;

- perform unlawful activities;

- intentionally provide false or misleading instructions intended to compromise business systems.

9. INTELLECTUAL PROPERTY

JARVIS, including its internal architecture, software, workflows, configurations, and related materials, is owned or controlled by Novera Construction inc. or its applicable licensors.

Third-party software, APIs, trademarks, and services remain the property of their respective owners.

QuickBooks and Intuit are trademarks of Intuit Inc. JARVIS is not endorsed by or affiliated with Intuit except through authorized use of Intuit developer services and APIs.

10. AVAILABILITY

JARVIS may depend on third-party APIs, internet connectivity, authentication services, AI providers, and other infrastructure.

We do not guarantee uninterrupted availability.

A connected service may become temporarily unavailable because of maintenance, expired authorization, provider outages, security controls, or other technical conditions.

11. DISCLAIMER

JARVIS is a business assistance tool.

It is not a substitute for professional legal, accounting, tax, financial, engineering, or other regulated professional advice.

Important decisions should be independently reviewed by the appropriate qualified professional when required.

12. SUSPENSION OR TERMINATION

Novera may restrict, suspend, or terminate access to JARVIS or any connected service at any time when necessary for security, compliance, operational, or administrative reasons.

13. CHANGES TO THESE TERMS

These Terms may be updated as JARVIS evolves.

The current version will be published on this page with its effective date.
